Agreement to Terms

These Terms of Service govern the relationship and form a binding agreement between clients and V-Asset Digital when engaging our services. This includes consultations, project development, and ongoing maintenance or retainers. By scheduling a consultation, using our website, or submitting a project request, you acknowledge that you have read, understood, and agreed to be bound by these terms.

We aim for complete clarity. The following sections outline our respective rights, responsibilities, and operational guidelines.

Scope of Services

V-Asset Digital designs and implements custom artificial intelligence and automation solutions. These offerings comprise lead acquisition structures, WhatsApp business automation, CRM integrations, follow-up systems, backend operational optimization, and web application development. All deliverables are built in accordance with specifications outlined in the respective project proposal.

Operational Workflow

• Initial Consultation - We provide a complimentary thirty-minute consultation to analyze business bottlenecks and assess the viability of automation. This call does not create any formal obligation.
• Project Proposal - If a viable opportunity exists, we supply a detailed project proposal specifying deliverables, timelines, and costs. No hidden fees or unitemized charges will be applied.
• Implementation and Handoff - Upon formal approval, we implement, test, and hand over the requested system. Ownership of deliverables is transferred upon full settlement of project fees.

Payment Terms

• Payment schedules and milestones are mutually agreed upon prior to project initiation and are documented in the proposal.
• For standard engagements, we operate on a milestone structure, which requires an upfront deposit followed by installment payments upon the completion of specified phases.
• Payments must be made via bank transfer or other approved methods as specified in the billing instructions.

Ownership of Intellectual Property

Upon receipt of final payment, full ownership of the custom code, workflows, automation sequences, and assets created specifically for you is transferred to you. We do not retain proprietary claims over your completed operational systems.

We reserve the right to reuse standard code modules, generalized templates, and structural methodologies developed in the course of our business operations, provided they do not contain your proprietary data or confidential information.

Scope Adjustments and Revisions

Each project possesses a defined scope outlined in the proposal. In the event that requirements change significantly during development, we will present an updated timeline and cost estimate for your approval before proceeding. Minor adjustments within reasonable limits are accommodated without additional charges.

Confidentiality

We treat all information shared by you concerning your business operations, proprietary data, customer lists, pricing structures, and strategies as strictly confidential. We will not share your information with third parties, competitors, or external entities without your explicit prior authorization.

Limitation of Liability

We build systems to high professional standards and execute thorough testing protocols prior to handoff. However, we are not liable for indirect, consequential, or incidental losses, loss of business revenue, or issues arising from third-party service disruptions (including, but not limited to, WhatsApp API structural changes, Meta policies, or cloud hosting service outages) that occur post-launch.

Our total liability under any engagement is strictly limited to the cumulative amount paid by you to V-Asset Digital for that specific project.

Cancellation and Termination

Either party may terminate an engagement by providing written notice. In the event of cancellation prior to project completion, you will be invoiced for all work performed up to the termination date based on documented milestones or hourly rates. We do not apply arbitrary termination fees.

Amendments to Terms

We reserve the right to update these terms at our discretion. Any revisions will be marked by an updated date at the top of this page. Existing active project agreements will continue under the specific terms in force at the time of agreement signing.
